Associate Attorney (Private Equity and M&A) The candidate will represent public and private companies, private equity firms and their portfolio companies, sovereign wealth funds, and other strategic and financial investors in connection with international and domestic corporate transactions, including acquisitions, divestitures, leveraged buy-outs, strategic mergers, co-investments, minority investments, joint ventures and other transactions. As part of a team of lawyers, advise on and draft complex legal documents and lead diligence teams comprised of domestic and international lawyers with specialist expertise. Oversee legal due diligence and transactional processes from early stage deal negotiation to signing and closing for clients in the consumer products, financial products, real estate and service industries. Should have a JD. Should have 2+ years of experience as an attorney in corporate transactions with mergers & acquisition. Must be admitted to practice law in New York. Must have work experience in each of the following: 1) counsel market-leading private equity firms and their portfolio companies, including experience with companies in real estate, healthcare, and service industries; 2) advise on complex international transactions and liaising with foreign local counsel in Asia; 3) assist with drafting stock purchase agreements, asset transfer agreements, side letters, limited partnership agreements and limited liability company agreements; and 4) oversee legal due diligence and transactional processes from early stage deal negotiation to signing and closing within real estate, financial products and service industries.
